- Namirial announces the acquisition of Digital Technologies, marking its 6th strategic add-on reaffirming its position as the most active consolidator in the European digital trust market.
- Digital Technologies is a provider of digital transaction management software solutions focused on document workflow hyper-automation and electronic invoicing software for large multinational corporations.
- Further advancing environmental sustainability investing, this latest add-on enhances Namirial’s capabilities in electronic invoicing, a core growth driver across Europe and beyond.
Ambienta SGR S.p.A. (“Ambienta”), one of Europe’s leading and largest asset managers entirely focused on environmental sustainability, is pleased to announce that its platform company Namirial S.p.A. (“Namirial”), a leader in digital transaction management, has acquired Digital Technologies S.r.l. – Società Benefit (“Digital Technologies”), a provider of digital transaction management software with a focus on document workflow hyper-automation and electronic invoicing. Notably, Digital Technologies has built a robust e-invoicing hub, capable of serving multiple international jurisdictions, effectively all countries that have already ruled e-invoicing across Europe, South America and Asia. In France for example Digital Technologies already acts as an established PDP (Partner Dematerialisation Platform). By leveraging this platform, Namirial’s customers, who issue 400 million electronic invoices annually, will be able to seamlessly deliver electronic invoices worldwide.
Headquartered in Trezzano sul Naviglio (Italy), Digital Technologies enables large corporations across industrial sectors to digitalise and automate finance, legal and supply-chain business processes via: (i) a proprietary document hyper-automation software platform, (ii) a global e-invoicing hub and (iii) adjacent digital trust solutions such as digital signature, digital archiving, and e-payments. Digital Technologies today employs approx. 70 people, serving primarily large multinational companies that require a highly automated, regulation-compliant electronic invoicing platform able to operate globally.
Ambienta first acquired Namirial in May 2020, recognizing the importance of digitalisation in reducing the need for paper and travel and its corresponding positive impact on environmental sustainability. Digital Technologies is the sixth acquisition carried out by Ambienta and Namirial as part of a consolidation strategy in the compliance-critical digital transaction management market. All bolt-on acquisitions contributed to achieving impressive results: Netheos (November 2021) enabled the entry into the French market and strengthened the offering of digital onboarding solutions; Evicertia (January 2022) contributed to expanding the footprint in Spain and Latin America and Namirial’s offering of certified communication products; Bit4ID (April 2022) further boosted the tech capabilities of Namirial as well as its international presence across a number of key emerging markets; Agenzia Trotta (September 2022) enhanced Namirial’s offering in highly-specialised professional segments; Unimatica (September 2023) provided software products tailored for highly regulated industries such as public administration and insurance. Driven by Namirial strong organic growth – supported by a successful M&A campaign – the platform now exceeds €160 million in revenues and has approx. 1000 employees with offices across 18 countries.
The dematerialisation of business processes unlocks multiple benefits essential to advancing sustainability. This is evident in the positive environmental impact delivered by this Ambienta champion. In 2023, Namirial enabled transformation of clients’ processes contributing to 17,764 tons of Materials Saved, 1,143,441 m3 of Water Saved, 13,807 tons of oil equivalent of Energy Saved and 11,796 m3 of Landfill Saved and 43,557 tons of CO2 Emissions Reduced.
Max Pellegrini, CEO of Namirial, commented: “We are pleased to welcome Digital Technologies and its management team to the Namirial group: the unique combination of their expertise and solutions for electronic invoicing and document workflow hyper-automation will undoubtedly enrich and strengthen our knowledge, market access and product offering. In our view, electronic invoicing represents one of the most compelling mid-term market opportunities and our partnership with Digital Technologies will allow us to reach more and more customers in a variety of segments, thus accelerating the adoption of electronic invoicing worldwide”.
Stefano Baldini, CEO of Digital Technologies, commented: “We are enthusiastic of joining a group like Namirial as we look forward to combining commercial, development and technological capabilities to synergically expand Namirial’s reach. Together we can build a market leading position and build significant presence into those markets which are nascent / developing, driven by electronic invoicing mandates under implementation, both in Europe and overseas”.
Giancarlo Beraudo, Private Equity Partner at Ambienta, commented: “The acquisition of Digital Technologies is perfectly aligned with Ambienta’s strategy and focus in supporting environmental champions, companies whose growth is driven by indisputable environmental sustainability trends, through value-accretive acquisitions. Our ambition remains to position Namirial as the global leader in compliance-critical digital transaction management workflows, a goal that we continue to pursue both organically and via strategic M&A to the platform”.
